3. Purpose and Acceptance of the ToU

These ToU define the conditions under which Clients may access and use the Platform and Services.
The Client can find them via a direct link at the bottom of each page of the Platform.
Access to and use of the Services are subject to the Client's full and unreserved acceptance of these ToU. This acceptance is materialized by checking a box provided for this purpose during the registration or Subscription process on the Platform.
The ToU may be supplemented, where applicable, by special conditions which, in the event of contradiction, shall prevail over these ToU.

4. Conditions of Access to the Services

To access and use the Services, the Client must:

  • Be a legal entity acting through a natural person with the power or authority to contract in the name and on behalf of said legal entity.
  • Act as a professional, i.e., for needs within the scope of its commercial, industrial, craft, liberal, or agricultural activity.

5. Subscription and Access Procedures

5.1. Account Creation and Subscription

To benefit from the Services, the Client must create an account on the Platform and subscribe to one of the available Subscription plans.
The Client undertakes to provide accurate, complete, and up-to-date information during registration and throughout the duration of the Subscription.
Registration and subscription are carried out directly online via the Aurélia.jobs website. The SaaS model allows for fully dematerialized and automated subscription and payment (by bank transfer or via Stripe). A 30-day free trial is offered, without requiring payment information. At the end of this trial period, access to the Services is suspended until the Client subscribes to a paid Subscription; no amount is charged without such subscription.

5.2. Credentials

Access to the Client's Account is via a username and password chosen by the Client. These credentials are personal, confidential, and non-transferable. The Client is solely responsible for the safekeeping and use of their credentials. Any connection to the Account using these credentials is deemed to have been made by the Client. In case of loss, theft, or fraudulent use of their credentials, the Client undertakes to inform AURELIA.JOBS without delay.

5.3. Authorized Users

Depending on the Subscription (notably the "Aurelia Pro" plan), the Client may create access for several Users within their organization, within the limit of the number of Users included in their plan. The Client is solely responsible for managing their Users' access and their compliance with these ToU.

6.2. Subscription Plans

The Services are offered in the form of different Subscription plans, the characteristics, features, limits (number of users, number of AI analyses, number of simultaneous recruitments, etc.), and prices of which are detailed on the Platform at the time of subscription. As an indication at the time of publication of these ToU:

The Client is invited to consult the detailed description of the plans on the Platform before subscribing.
AURELIA.JOBS reserves the right to offer any other Service or to modify its Subscription plans. Any substantial modification of the Services subscribed to by the Client during the Subscription will be notified in accordance with the article "Modification of the Terms of Use".

6.3. Additional Services

6.3.1. Maintenance

During the term of the Services, the Client benefits from maintenance, including corrective and evolutionary maintenance.

  • Corrective Maintenance: AURELIA.JOBS strives to correct as soon as possible any malfunction or bug found on the Platform.
  • Evolutionary Maintenance: The Client benefits from evolutionary maintenance that AURELIA.JOBS may carry out automatically and without notice. This includes improvements to existing features, the addition of new features, and/or technical optimizations.

Access to the Platform may be limited or suspended for planned maintenance reasons. AURELIA.JOBS will endeavor to inform the Client in advance and minimize any inconvenience.

6.3.2. Hosting

AURELIA.JOBS provides, on a best-efforts basis, hosting of the Platform and Client Content on its servers or through a professional hosting provider, on servers located primarily within the European Union.

6.3.3. Technical Support

In case of difficulty using the Services, the Client may contact AURELIA.JOBS via the chatbot available on the Platform or at the contact details indicated in article 1. The level of support (standard or priority) may depend on the subscribed plan. Support is generally available during French business days and hours.

6.4. Use of Artificial Intelligence

The Platform uses artificial intelligence systems to assist the Client in their recruitment processes, including:

  • CV analysis and scoring
  • Generation of interview question suggestions
  • Evaluation of responses against criteria defined by the Client
  • Content generation (job postings, recruitment briefs)

Transparency and Human Control: Any evaluation generated by AI is clearly identified as such in the interface. Scores and suggestions are decision support tools and do not replace human judgment in any way. The Client retains the ability to modify, validate, or reject AI results at any time.

Informing Candidates: The Client, as data controller, undertakes to inform candidates of the use of AI in the recruitment process, in accordance with Regulation (EU) 2024/1689 (AI Act). AURELIA.JOBS provides the technical tools to collect candidate consent.

Excluded Practices: The Platform does not use and prohibits the use of:

  • Emotion or sentiment analysis
  • Scoring based on social networks or external public data
  • Categorization of sensitive data (origin, opinions, orientation)

7. Financial Terms

7.1. Service Prices

The price of the Services is the one in effect on the day of subscription or renewal of the Subscription, as indicated on the Platform. Prices are expressed in Euros and excluding taxes (VAT).
Subscriptions are offered on a monthly or annual basis. Annual payment may entitle the Client to a preferential rate.

  • Monthly Subscription: Billed monthly, payable in advance for the coming month.
  • Annual Subscription: Billed annually in a single payment, payable in advance for the coming twelve months.

Refund terms in case of early termination are defined in article 8.2. AURELIA.JOBS is free to offer promotional offers or price reductions.
Service prices may be revised at any time under the conditions of the article "Modification of the Terms of Use".

7.2. Billing and Payment Terms

AURELIA.JOBS will send the Client an invoice for each Subscription period by any useful means (generally by email or via their Client Account).
Payment is made upon receipt of the invoice, by bank transfer or via the Stripe payment platform, according to the options offered at the time of payment.
The Client guarantees AURELIA.JOBS that they have the necessary authorizations to use the chosen payment method.

7.3. Late or Non-Payment

In the event of non-payment or late payment, in whole or in part, of an invoice when due, AURELIA.JOBS reserves the right, without prejudice to any other remedy, and after a formal notice has remained unsuccessful for 8 days:

  • To immediately suspend access to the Services until full payment of the amounts due.
  • To apply late payment penalties equal to three (3) times the legal interest rate in force, calculated on the gross amount due, as well as a fixed compensation for recovery costs of forty (40) euros, in accordance with applicable law. If the actual recovery costs incurred exceed this fixed amount, AURELIA.JOBS may claim additional compensation upon justification.
  • To terminate the Subscription as of right, in accordance with the article "Termination for Breach".

8. Duration and Termination of the Subscription

8.1. Duration

The Subscription is taken out for an initial monthly or annual period, according to the Client's choice.
At the end of the initial period, the Subscription is tacitly renewed for successive periods of the same duration (monthly or annual), unless terminated by either party under the conditions below.

8.2. Termination by the Client

The Client may terminate their Subscription at any time with two (2) months' notice, in accordance with Article 25 of Regulation (EU) 2023/2854 (Data Act).

8.2.1. Monthly Subscription

No penalty is due. Termination takes effect at the end of the notice period.

8.2.2. Annual Subscription

The annual Subscription is billed in a single payment at subscription at a preferential rate. In case of early termination before its term:

(a) Months consumed are calculated at the standard monthly rate for the subscribed plan.

(b) A compensatory penalty of 70% of the remaining months, calculated based on the standard monthly rate for the subscribed plan, is retained.

(c) The total amount retained by AURELIA.JOBS (consumption + penalty) may not exceed the amount actually paid by the Client. The net refund cannot be less than zero.

This penalty, communicated pre-contractually in accordance with Article 29.4 of the Data Act, compensates for the economic harm resulting from the disruption of the contractual balance and the investments made by AURELIA.JOBS for the acquisition, configuration, and support of the Client.

Formula: Refund = MAX(0; Amount paid - (Months consumed × Standard monthly rate) - (70% × Remaining months × Standard monthly rate))

Example (Business plan at €499 excl. VAT/month): Annual subscription terminated after 3 months:

  • Consumed: 3 × €499 = €1,497
  • Penalty: 70% × 9 × €499 = €3,144
  • Refund: €4,990 - €1,497 - €3,144 = €349

8.3. Termination by AURELIA.JOBS

AURELIA.JOBS may terminate the Client's Subscription, without compensation, by giving reasonable notice (for example, 30 days before the end of the current period for annual Subscriptions, or 7 days for monthly Subscriptions), notably in the event of discontinuation of the Service.
AURELIA.JOBS may also terminate the Subscription for the Client's breach of obligations, in accordance with the article "Sanctions in case of Breach".

8.4. Consequences of the End of the Subscription

At the end of the Subscription, for any reason whatsoever, the Client's and its Users' access to the Services will be deactivated. The Client has thirty (30) days following the end of the Subscription to request the export of their Client Content in accordance with article 8.5. After this period, AURELIA.JOBS may permanently delete Client Content and the Client's Account.

8.5. Data Portability

In accordance with the Data Act and the GDPR, the Client may at any time request the export of all their Client Content in a structured, commonly used, and machine-readable format (JSON, CSV).

The export includes:

  • Candidate files and associated CVs
  • Recruitment processes and evaluations
  • Workspace configuration data

Export requests are made by contacting support@aurelia.jobs. The export will be provided within a maximum of thirty (30) days.

As of January 12, 2027, no switching fees may be charged to the Client (Article 29 Data Act).

9. Intellectual Property

9.1. AURELIA.JOBS's Property

The Platform, including its software, architecture, structure, databases, as well as all content it uses (texts, images, visuals, logos, trademarks, etc., excluding Client Content) are and remain the exclusive property of AURELIA.JOBS or its licensors and are protected by intellectual property law.
AURELIA.JOBS grants the Client, for the duration of their Subscription, a non-exclusive, personal, non-transferable, and non-assignable right to use the Platform, for their own needs and strictly within the limits of the subscribed Services. This right of use shall in no way be interpreted as a transfer of ownership.
Any reproduction, representation, modification, adaptation, decompilation, or distribution of all or part of the Platform or its components, without the prior written authorization of AURELIA.JOBS, is strictly prohibited and may constitute an infringement.

9.2. Client Content

The Client remains the sole owner of the Client Content they upload or generate on the Platform.
The Client grants AURELIA.JOBS a non-exclusive, worldwide right, for the duration of the Subscription, to use, reproduce, adapt (notably for technical reasons of formatting, storage, or display), modify (with the Client's agreement or for AI needs to generate suggestions), and communicate the Client Content, solely for the purpose of providing the Services and ensuring the proper functioning and improvement of the Platform (notably for the training of artificial intelligence models in an anonymized and aggregated manner, unless the Client objects in writing).
The Client warrants to AURELIA.JOBS that they have all the rights and authorizations necessary for the Client Content to be used as part of the Services and to grant the above license.

10. Client's Obligations and Liability

10.1. Provision of Information

The Client undertakes to provide AURELIA.JOBS with all necessary, accurate, and up-to-date information for the subscription and use of the Services.

10.2. Proper Use of the Services

The Client is responsible for their use of the Services and that of their Users. They undertake to use the Platform in accordance with its purpose, these ToU, and applicable laws and regulations.
The Client notably undertakes not to:

  • Engage in illegal, fraudulent, or activities contrary to public order and morality.
  • Infringe the rights of third parties or the intellectual property rights of AURELIA.JOBS.
  • Transmit illegal, defamatory, abusive, racist, xenophobic, or otherwise offensive Client Content.
  • Attempt to gain unauthorized access to the Platform or AURELIA.JOBS's computer systems.
  • Use the Services to send unsolicited communications (spam).
  • Resell, rent, or distribute the Services to third parties without AURELIA.JOBS's written consent.

10.3. Responsibility for Client Content

The Client is solely responsible for the nature, legality, and quality of the Client Content they transmit and use via the Platform. They undertake to ensure that such Content does not contain viruses or malicious code and respects the rights of third parties, notably regarding personal data.

10.4. Relations with Candidates

The Client is solely responsible for the relationships they establish with candidates identified or contacted, whether through the Platform or otherwise. AURELIA.JOBS does not intervene in the contractual or pre-contractual relationship between the Client and candidates.

10.5. Indemnification

The Client shall indemnify AURELIA.JOBS against any claim, action, or judgment that may result from the Client's or its Users' breach of any of their obligations under these ToU. The Client shall indemnify AURELIA.JOBS for any loss suffered as a result, including legal and attorney fees.

11. AURELIA.JOBS's Obligations and Liability

11.1. Provision of Services

AURELIA.JOBS undertakes to provide the Services diligently and professionally, on a best-efforts basis. AURELIA.JOBS undertakes to implement the technical means necessary to ensure good quality access to the Services and the security of Client Content.

11.2. Quality and Availability of Services

AURELIA.JOBS strives to ensure the Platform is available 24/7, except in cases of force majeure or planned maintenance (as defined in article 6.3.1).
However, AURELIA.JOBS cannot be held liable for temporary difficulties or impossibilities of access to the Services originating from:

  • Circumstances outside its network (notably failure of telecommunications networks, interruption of services by Internet service providers).
  • Failure of equipment, cabling, services, or networks not included in its Services or for which it is not responsible.
  • Misconfiguration or misuse of the Platform by the Client.
  • A case of force majeure as defined in the article "Force Majeure".

11.3. Accuracy of Information and Results

AURELIA.JOBS provides tools based on artificial intelligence to assist the Client in their recruitment processes. Although AURELIA.JOBS makes every effort to provide relevant analyses and suggestions, it does not guarantee the absolute accuracy of the information generated (e.g., CV scores or interview analyses) nor the perfect suitability of proposed candidates or the success of recruitments. The Services are decision support tools, but the final recruitment decision is the sole responsibility of the Client.
AURELIA.JOBS does not guarantee the volume of recruitment the Client may achieve through the use of the Services.

11.4. Data Backup

AURELIA.JOBS implements technical measures to ensure the security and backup of Client Content hosted on the Platform. However, it is the Client's responsibility to take all necessary precautions for the preservation of their data and to make their own regular backups. Except in the case of proven fault on its part, AURELIA.JOBS cannot be held liable for the loss of Client Content.

11.5. Hosting Role

Regarding Client Content uploaded by the Client, AURELIA.JOBS acts as a hosting provider within the meaning of French law for confidence in the digital economy (LCEN). Consequently, AURELIA.JOBS is not subject to a general obligation to monitor Client Content. If AURELIA.JOBS is informed of the illegal nature of Client Content, it will act promptly to remove it or make it inaccessible and may take the measures described in the article "Sanctions in case of Breach".

11.6. Subcontracting and Assignment

AURELIA.JOBS may use subcontractors for the performance of all or part of the Services, who will be subject to the same obligations as AURELIA.JOBS in the context of their intervention. AURELIA.JOBS remains solely responsible to the Client for the proper performance of the Services.
AURELIA.JOBS may assign this contract to any person of its choice, notably in the event of a merger, acquisition, or transfer of its business. In this case, AURELIA.JOBS will inform the Client by any written means.

12. Limitation of Liability

AURELIA.JOBS's liability under these ToU is limited to direct and proven damages suffered by the Client and resulting from AURELIA.JOBS's breach of its contractual obligations.
In no event shall AURELIA.JOBS be liable for indirect damages such as loss of opportunity, loss of profit, loss of data, commercial loss, or damage to image.
Except for bodily injury, death, and gross negligence, and provided that the Client has made a claim by registered letter with acknowledgment of receipt within one (1) month of the occurrence of the damage, AURELIA.JOBS's total liability, for all causes, shall not exceed the total amount excluding taxes actually paid by the Client to AURELIA.JOBS for the relevant Subscription during the twelve (12) months preceding the event giving rise to liability, or the duration of the Services if this period is shorter.

13. Processing of Personal Data

13.1. Data of the Client and Users

As part of access to and use of the Services, AURELIA.JOBS processes personal data concerning the Client (if a natural person or sole proprietorship) and its Users (name, first name, professional email address, etc.). AURELIA.JOBS acts as data controller for this data. The purposes, legal bases, and methods of these processing operations are detailed in AURELIA.JOBS's Privacy Policy, available on the Platform, which the Client undertakes to consult and bring to the attention of its Users.

13.2. Candidate Data (Client Content)

Regarding personal data of candidates that the Client collects, processes, and stores via the Platform (e.g., CVs, interview notes), the Client acts as data controller. AURELIA.JOBS acts as the Client's processor for the hosting and technical processing of this data solely for the provision of the Services.
The respective obligations of AURELIA.JOBS (as processor) and the Client (as data controller) regarding the processing of candidates' personal data are defined in a Data Processing Agreement (DPA) which may be provided by AURELIA.JOBS and which will form an integral part of these ToU.
In the absence of a specific DPA, AURELIA.JOBS undertakes to:

  • Process data only on documented instructions from the Client (including for data transfers).
  • Guarantee the confidentiality of the data.
  • Implement appropriate technical and organizational security measures.
  • Assist the Client, as far as possible, in responding to requests to exercise the rights of data subjects.
  • Notify the Client of any personal data breach as soon as possible.
  • Delete or return the data at the end of the contract, according to the Client's choice.

The Client, as data controller, undertakes to comply with all its obligations under the Applicable Regulations (notably the GDPR and French Data Protection Act), including informing candidates, defining the legal bases for processing, managing consents if necessary, and the retention period for candidate data.

Client Obligations: The Client, as data controller, undertakes to:

  • Inform candidates of the use of AI before any automated evaluation.
  • Obtain explicit consent from candidates for the processing of their CV by the Platform's algorithms, when required by applicable regulations.
  • Allow candidates to exercise their right to object to automated profiling.
  • Retain candidate data in accordance with the periods provided by law (maximum 2 years after last contact, unless explicit consent).

AURELIA.JOBS provides the tools to collect such consents and manage requests to exercise rights.

14. Confidentiality

Each party undertakes to treat as confidential all technical, commercial, financial, or strategic information relating to the other party of which it becomes aware during the performance of the contract, during the Subscription and for a period of three (3) years after its termination.
This confidentiality obligation does not apply to information:

  • That was already in the public domain at the time of disclosure or becomes so without breach of this clause.
  • That was lawfully received from a third party.
  • Whose disclosure is required by judicial or administrative authorities, in accordance with laws and regulations.

15. Commercial References

Unless otherwise agreed in writing by either party, each party authorizes the other to use its name, brand, and logo as a commercial reference on their respective communication media (website, brochures, presentations, etc.), during the term of their contractual relationship and for three (3) years thereafter.

16. Force Majeure

Neither party shall be held liable for a failure to perform its contractual obligations if such failure is due to an event of force majeure, as defined by Article 1218 of the French Civil Code and French case law. Events considered as force majeure include, but are not limited to, total or partial strikes, internal or external to the company, lockouts, bad weather, epidemics, blockages of means of transport or supply, earthquakes, fires, storms, floods, water damage, government or legal restrictions, legal or regulatory changes in marketing forms, computer failures, or interruptions of telecommunications networks.
The party noting the event must immediately inform the other party of its inability to perform its obligation and will endeavor to limit the consequences of this event. The performance of obligations will be suspended for the duration of the force majeure if it is temporary. If the impediment is definitive or exceeds thirty (30) days, the contract may be terminated as of right by either party, without compensation.

17. Sanctions in Case of Breach

In the event of a breach by the Client of any of its obligations under these ToU, notably in the event of non-payment of the price, improper use of the Services, or infringement of AURELIA.JOBS's intellectual property rights, AURELIA.JOBS may, after formal notice sent by any written means has remained unsuccessful for fifteen (15) days (or without notice in the event of serious or repeated breach):

  • Temporarily suspend the Client's access to the Services.
  • Terminate the Client's Subscription as of right, without prejudice to any damages that AURELIA.JOBS may claim.
  • Delete any illegal or litigious Client Content.
  • Publish on the Platform any information message that AURELIA.JOBS deems useful.
  • Notify any competent authority and provide it with any useful information.

The end of the Services, for any reason whatsoever, results in the deletion of the Client's Account under the conditions set out in article 8.4.

18. Modification of the Terms of Use

AURELIA.JOBS reserves the right to modify these ToU at any time.
In the event of modification, AURELIA.JOBS will inform the Client by any written means (notably by email or via a notification on the Platform) with at least one (1) month's notice before they come into force.
The amended ToU will apply upon renewal of the Client's Subscription.
If the Client does not accept the proposed changes, they must terminate their Subscription before they come into force, in accordance with the procedures set out in the article "Duration and Termination of the Subscription".
The use of the Services by the Client after the entry into force of the amended ToU constitutes full and unreserved acceptance thereof.

19. Miscellaneous Provisions

19.1. No Waiver

The fact that either party does not invoke a breach by the other party of any of the obligations referred to in these ToU shall not be interpreted for the future as a waiver of the obligation in question.

19.2. Partial Invalidity

If one or more provisions of these ToU are held to be invalid or declared as such pursuant to a law, regulation, or final decision of a competent court, the other provisions shall retain their full force and effect.

19.3. Headings

The headings of the articles of these ToU are for convenience only and shall not be taken into account in the interpretation of the contract.

20. Language

These ToU are written in French. In the event of translation into one or more other languages, only the French text shall prevail in the event of a dispute.

21. Governing Law and Jurisdiction

These ToU and the operations arising therefrom are governed by and subject to French law. All disputes to which the purchase and sale operations concluded pursuant to these ToU may give rise, concerning their validity, interpretation, performance, termination, consequences, and aftermath, and which could not be resolved amicably between AURELIA.JOBS and the Client within two (2) months of the first notification, shall be submitted to the Commercial Court of Thonon-les-Bains (France), notwithstanding multiple defendants or third-party proceedings, unless otherwise required by mandatory provisions.
